Vendor Terms Resonance Threads

1. Agreement

By registering as a vendor partner on Resonance Threads, you agree to these Vendor Terms of Service. These terms govern your role as a production fulfillment partner within the Resonance ecosystem.

2. Vendor Eligibility

Must be a registered business entity in India
Must have verifiable production capacity and equipment
Must pass quality assessment during onboarding
Must maintain valid GST registration (where applicable)

3. Service Level Agreements (SLAs)

Vendors must adhere to the following SLAs:

Production Time: Orders must be completed within the agreed turnaround time (typically 2-4 business days)
Quality Standards: All products must meet Resonance quality benchmarks for print clarity, fabric integrity, and packaging
Defect Rate: Must maintain a defect rate below 3%
Communication: Must respond to platform communications within 4 business hours

4. Quality Standards

Print resolution must meet minimum DPI requirements
Color accuracy must match approved proofs within acceptable tolerance
Packaging must protect products during transit
All products must pass quality check before dispatch

5. Payment Terms

Vendors are paid on a per-order basis as per the agreed rate card
Payment cycles are processed weekly or bi-weekly
Invoices must be submitted through the vendor dashboard
Deductions may apply for quality failures or SLA breaches

6. Confidentiality

Vendors must maintain confidentiality of:

Customer personal information and order details
Design files and intellectual property of creators
Platform pricing, algorithms, and business strategies
Any proprietary information shared during the partnership

7. Termination

Either party may terminate the vendor partnership with 30 days written notice. Immediate termination may occur for:

Repeated SLA violations
Quality standards consistently not met
Breach of confidentiality
Fraudulent activity

8. Liability

Vendors are liable for production defects and must process replacements or refunds for orders that fail quality standards. Resonance Threads is not liable for vendor equipment failures, supply chain disruptions, or force majeure events.
